SNR Developers Terms of Use

These Terms & Conditions ("Agreement") govern all services provided by SNR Developers("we", "us", "SNR") to clients ("Client", "you"). By engaging our services - whether through a signed proposal, purchase order, or written confirmation - you agree to be bound by these terms.
1. Services
SNR Developers provides custom software development, AI automation, web and mobile application builds, SEO, lead generation, and digital growth services as described in each individual Project Brief or Statement of Work ("SOW").
Each engagement is governed by these Terms alongside the applicable SOW. In the event of conflict, the SOW takes precedence on project-specific matters.
2. Phase-Based Delivery Model
All project engagements are structured in clearly defined phases. Each phase has a fixed fee, agreed KPIs, and defined acceptance criteria set out in the SOW before work begins.
The standard phases for a full-scope engagement are set out below. Individual SOWs may combine, skip, or rename phases depending on project type. The applicable phases and their KPIs are always confirmed in the SOW before any payment is taken.
Phase 1 - Discovery & Scoping
Outcome: Detailed proposal, architecture specification, and project roadmap.
- Signed Project Brief delivered and approved by Client
- Technical architecture document reviewed and signed off
- Project timeline and milestone schedule agreed in writing
Phase 2 - Design & Prototyping
Outcome: Approved designs ready for development sprint.
- UI/UX designs or wireframes approved by Client within the agreed revision limit
- Core user journeys mapped and confirmed
- Brand and visual standards documented and agreed
Phase 3 - Development Sprint
Outcome: Feature-complete build deployed to staging for Client review.
- All agreed features built and demonstrable in staging environment
- Core functionality passes agreed acceptance criteria
- No critical (P1) bugs outstanding at phase close
Phase 4 - Testing & QA
Outcome: Signed QA sign-off; build approved for production deployment.
- All user acceptance tests (UATs) defined in the project brief pass
- Mobile and cross-browser compatibility verified against agreed target matrix
- Performance benchmarks met (e.g. Core Web Vitals, load time targets defined in brief)
Phase 5 - Launch & Handover
Outcome: Live product with full ownership transferred to Client.
- Production deployment completed and verified live
- Agreed training or documentation assets delivered to Client
- Post-launch monitoring active for agreed stabilisation period
Phase 6 - Growth & Optimisation (Retainer, where applicable)
Outcome: Ongoing improvement against agreed commercial KPIs.
- KPI targets defined per monthly or quarterly cycle (e.g. conversion rate, ranking positions, lead volume)
- Performance report delivered at end of each cycle
- Agreed optimisation actions completed within the cycle
3. Payment, KPI Sign-Off & Phase Progression
1. Client pays for Phase N → SNR begins work on Phase N
2. SNR delivers Phase N outputs → Client reviews against agreed KPIs
3a. Satisfied → Client pays for Phase N+1 → SNR begins Phase N+1
3b. Not satisfied → SNR fixes at no additional charge until KPIs are met → Client confirms satisfaction → Client pays for Phase N+1 → SNR begins Phase N+1
- Payment comes before work. SNR will not begin work on any phase until payment for that phase has been received in full.
- Satisfaction comes before the next payment. The Client is under no obligation to pay for the next phase unless they are satisfied with the current phase and all agreed KPIs have been met.
- At the close of each phase, SNR will deliver the outputs and invite the Client to review them against the agreed KPIs in the SOW. The Client has 5 business days to respond with approval or documented objections. Silence after 5 business days constitutes acceptance.
- Where the Client is not satisfied, SNR will identify and address the shortfall at no additional cost, provided the objections fall within the agreed KPIs for that phase. SNR will then re-present the deliverables for Client review. This process repeats until the Client confirms satisfaction.
- Objections outside the original KPIs are scope changes and are handled as change requests under Section 7 - they do not block phase sign-off on the agreed deliverables.
- Once the Client confirms satisfaction in writing, an invoice for the next phase is issued. Work on the next phase begins upon receipt of that payment.
4. Payment Terms
- Each phase has a fixed fee stated in the SOW. Payment is due in full before SNR begins work on that phase.
- The first payment (Phase 1 fee) is due upon signing the SOW and serves as the project start confirmation. There is no separate deposit - the phase fee is the commitment.
- Each subsequent phase fee is invoiced only after the Client has confirmed satisfaction with the preceding phase. Payment is due within 7 calendar days of the invoice date.
- No phase will begin until its fee is received. This protects both parties - the Client never pays for work they have not approved, and SNR does not carry unsecured costs.
- Late payments accrue interest at 2% per month on the outstanding balance from the 8th calendar day after the invoice date.
- All fees are exclusive of applicable taxes (VAT, GST, etc.) unless stated otherwise in the SOW.
5. Intellectual Property
- Upon receipt of all payments in full, SNR assigns to the Client all intellectual property rights in the custom deliverables created specifically for that project.
- SNR retains ownership of all pre-existing tools, frameworks, libraries, proprietary methodologies, and reusable components used in the build. A perpetual, royalty-free licence to use these within the delivered product is granted to the Client.
- Open-source components included in the build remain subject to their respective licences, which SNR will document in the handover materials.
- IP for completed and fully paid phases transfers incrementally - the Client owns the output of each paid phase upon payment of that phase.
6. Confidentiality
Both parties agree to keep confidential any proprietary, technical, or business information disclosed during the engagement that is marked as confidential or would reasonably be understood to be confidential.
SNR may reference the Client's name and a high-level description of the project in our portfolio and marketing materials unless the Client requests otherwise in writing before the project commences.
7. Change Requests & Scope
- Any request to add, remove, or significantly alter features or deliverables beyond the agreed SOW constitutes a change request.
- Change requests must be submitted in writing. SNR will provide a written estimate of any additional cost and timeline impact within 3 business days.
- Work on the change does not begin until the Client provides written approval of the revised scope and cost.
- Minor corrections and bug fixes within the agreed KPIs are not change requests and are addressed at no additional charge as part of the current phase.
8. Revision Policy
- Each phase includes a defined number of revision rounds as stated in the SOW (typically two rounds per phase).
- A "revision" means a consolidated set of amendments submitted in a single written communication. Multiple separate revision requests count as multiple rounds.
- Revision rounds apply to stylistic or preference-based adjustments within the agreed scope. Fixing deliverables to meet KPIs that were not originally satisfied does not count as a revision round.
- Additional revision rounds beyond the included allowance are billed at SNR's standard day rate as stated in the SOW.
9. Warranties & Liability
- SNR warrants that deliverables will materially conform to the agreed KPIs and acceptance criteria at the time of phase sign-off.
- SNR provides a 30-day post-launch bug warranty covering defects in code we wrote, at no additional cost. This does not cover issues arising from Client modifications, third-party platform changes, or hosting environment changes.
- To the fullest extent permitted by law, SNR's total aggregate liability under any engagement is capped at the total fees paid by the Client for that project in the 12 months preceding the claim.
- SNR is not liable for indirect, consequential, or loss-of-profit damages even if advised of the possibility.
10. Client Obligations
Timely delivery of the following by the Client is required for SNR to meet agreed timelines:
- Brand assets, content, copy, images, and third-party credentials required for the build.
- Timely feedback and sign-off within the windows set out in Section 3.
- A designated point of contact with authority to approve deliverables on behalf of the Client.
11. Termination
- Either party may terminate the engagement with 14 days' written notice.
- On termination, the Client retains ownership of all fully paid phases. SNR retains the fee for any phase already paid and in progress; no refund is due for a phase that has commenced.
- If a phase has been paid for but not yet started, SNR will refund the phase fee in full upon termination.
- SNR may terminate immediately if the Client is in material breach (including non-payment) and has not remedied the breach within 7 days of written notice.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes that cannot be resolved amicably will be referred to the exclusive jurisdiction of the courts of England and Wales.
13. Entire Agreement
These Terms, together with the applicable SOW, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements relating to the same subject matter. Any amendments must be agreed in writing by both parties.
